You are entering into this HuoPan Platform User Service Agreement (hereinafter referred to as "this Agreement") with the HuoPan platform operators (as detailed in the Definitions section) and using HuoPan platform services! From the date of publication of this Agreement, any reference to "HuoPan Platform User Service Agreement" in the HuoPan platform shall refer to this Agreement.

The index keywords listed before each service clause are for helping you understand the main points of the clause, and do not affect or limit the meaning or interpretation of the terms of this Agreement. To protect your own rights, it is recommended that you carefully read the specific wording of each clause.

[Careful Reading] Before you click to agree to this Agreement during the registration process, you should carefully read this Agreement. Please make sure to carefully read and fully understand the contents of each clause, especially the clauses that exempt or limit liability, the applicable law, and dispute resolution clauses. These clauses will be marked in bold underline, and you should focus on reading them. If you have any doubts about the Agreement, you can consult HuoPan platform customer service.

[Signing Action] After you fill in the information, read and agree to this Agreement, and complete the entire registration process, it means you have fully read, understood, and accepted the entire content of this Agreement and reached an agreement with HuoPan, becoming a "User" of the HuoPan platform. If you disagree with this Agreement or any of its terms, you should immediately stop the registration process.

1. Definitions

HuoPan Platform: Refers to websites and clients including HuoPan Net (with the domain: www.huopan.com) and other related platforms.

HuoPan: Refers to the HuoPan platform operator, "Shenzhen HuoPan E-commerce Co., Ltd."

HuoPan Platform Services: Refers to various services provided to you by HuoPan based on the internet, including the HuoPan platform website, client, and any new service forms that may emerge from future technological developments.

HuoPan Platform Rules: Includes all rules, interpretations, announcements, and content published on all HuoPan Platform Rules channels, as well as various rules, implementation details, product flow descriptions, and announcements published in HuoPan’s forums, help centers, etc.

2. Scope of the Agreement

2.1 Contracting Parties

[Equal Parties] This Agreement is jointly concluded by you and the HuoPan platform operator, and this Agreement is legally binding on both you and the HuoPan platform operator.

[Party Information] The HuoPan platform operator refers to the legal entities of HuoPan platform, and you can always check the certification information posted at the bottom of the Home Page of HuoPan’s websites to determine which HuoPan entity is performing the contract with you. Under this Agreement, the HuoPan platform operator may change due to business adjustments, and such changes will not affect your rights under this Agreement. The HuoPan platform operator may also add new entities for new HuoPan platform services, and if you use the newly added services, it is considered that you agree to the joint performance of this Agreement with the newly added HuoPan platform operator. In case of a dispute, you can determine the party performing the contract and the dispute counterpart based on the specific service you use and the specific actions affecting your rights.

2.2 Supplementary Agreements

Due to the rapid development of the internet, the terms listed in this Agreement cannot fully enumerate all rights and obligations between you and HuoPan, and the current agreements cannot guarantee that they fully meet future needs. Therefore, HuoPan platform's legal statements, privacy policies, and HuoPan Platform Rules are supplementary agreements to this Agreement, inseparable and having the same legal effect. If you use HuoPan platform services, it is considered that you agree to the supplementary agreements mentioned above.

3. Account Registration and Use

3.1 User Qualifications

You confirm that before you start the registration process to use HuoPan platform services, you should have the civil capacity corresponding to your actions as required by the laws of the People's Republic of China or the laws of your country. If you do not have the required civil capacity, you and your guardian shall bear all consequences arising from this according to the law.

In addition, you should ensure that you are not subject to trade restrictions, economic sanctions, or other legal restrictions imposed by any country, region, or international organization, and have not directly or indirectly provided funds, goods, or services to the aforementioned subjects. Otherwise, you should stop using HuoPan platform services, and you understand that violating the above requirements may result in your inability to register and use HuoPan platform services normally.

3.2 Account Description

[Account Obtaining] After you fill in the information, read and agree to this Agreement, and complete the entire registration process, you will receive a HuoPan platform account and become a HuoPan platform user.

HuoPan platform only allows each user to use one HuoPan platform account. If there is evidence proving or if HuoPan, based on HuoPan Platform Rules, determines that you have improperly registered or improperly used multiple HuoPan platform accounts, HuoPan may take measures such as freezing or closing accounts, canceling orders, refusing services, etc. If HuoPan platform or related parties suffer losses, you will also bear the compensation responsibility.

[Account Use] You are entitled to use the HuoPan username, email, or phone number (hereinafter referred to as "account name") and the password you set (the account name and password collectively referred to as "account") to log in to the HuoPan platform.

Since your HuoPan platform account is linked to your personal information and HuoPan platform business information, your account is for your personal use only. Any attempt to authorize a third party to use your account or access your account information is invalid without the consent of HuoPan platform. If HuoPan determines that the use of your account may endanger your account security or HuoPan platform information security according to the breach procedures in the HuoPan Platform Rules, HuoPan platform may refuse to provide services or terminate this Agreement.

[Account Transfer] Since the user account is associated with user credit information, you may transfer your account only when it is expressly stipulated by law, by judicial decision, or with the consent of HuoPan and in accordance with the user account transfer process specified in the HuoPan Platform Rules. Otherwise, your account may not be transferred in any way, and HuoPan platform has the right to hold you accountable for the breach of contract, and any responsibilities and consequences arising from this will be borne by you.

3.3 Registration Information Management

3.3.1 Authentic and Legal

【Information Authenticity】 When using the HuoPan platform services, you should accurately and completely provide your information (including your name, email address, phone number, contact address, etc.) as prompted on the HuoPan platform page, so that HuoPan or other users can contact you. You understand and agree that you have an obligation to maintain the authenticity and validity of the information you provide.

【Legality of Membership Name】The HuoPan membership name you set must not violate the laws and regulations of the People's Republic of China or the laws and regulations of your country, as well as HuoPan platform’s rules regarding membership name management. Otherwise, HuoPan may reclaim your HuoPan membership name. The recovery of your HuoPan membership name does not affect your ability to log in to the HuoPan platform using your email address or phone number and to use HuoPan platform services.

3.3.2 Updates and Maintenance

You should update your provided information in a timely manner. In cases where the law explicitly requires HuoPan, as the platform service provider, to verify the information of certain users (such as platform sellers), HuoPan will periodically check and verify your information as required by law. You should cooperate and provide the latest, authentic, complete, and valid information.

If HuoPan is unable to contact you using the last information you provided, if you fail to provide information as required by HuoPan in a timely manner, if the information you provided is obviously false, or if administrative or judicial authorities verify that the information you provided is invalid, you will bear all the losses and adverse consequences caused to yourself, others, and HuoPan. HuoPan may issue an inquiry or request for rectification and require you to re-authenticate, and may suspend or terminate part or all of the HuoPan platform services provided to you. HuoPan will not bear any responsibility in this regard.

3.4 Account Security Regulations

【Account Security and Custody Responsibility】 Your account is set by you and maintained by you. HuoPan will never actively ask you for your account password. Therefore, it is recommended that you keep your account secure and ensure that you log out at the end of each online session and exit the HuoPan platform in the proper way.

HuoPan will not bear any responsibility for losses and consequences caused by the disclosure of your account or due to attacks, fraud, etc., by others. You should seek relief through legal or administrative channels against the infringing party.

【Account Behavior Responsibility】 Except for HuoPan’s fault, You are responsible for all actions and consequences under your account (including but not limited to online signing of agreements, posting information, purchasing goods and services, and disclosing information).

【Daily Maintenance Notices】 If you discover any unauthorized use of your account to log into the HuoPan platform or other situations that may lead to the theft or loss of your account, it is recommended that you immediately notify HuoPan and authorize HuoPan to synchronize this information with your bound payment account platform. You understand that HuoPan will require reasonable time to act on any of your requests, and actions taken by HuoPan at your request may not avoid or prevent the formation or expansion of the infringement consequences. HuoPan is not responsible unless there is a statutory fault on HuoPan's part.

4. HuoPan Platform Services and Regulations

【Service Overview】 You have the right to browse, collect, purchase, evaluate, resolve transaction disputes, exchange information (such as Q&A and sharing), and enjoy other services related to goods and/or services on the HuoPan platform. HuoPan provides many services, which you can browse by logging into the HuoPan platform.

4.1 Browsing and Collecting Goods and/or Services

During your browsing of our website or client, HuoPan provides you with functions such as information classification, keyword search, filtering, collecting, and following to better match your needs. You can collect or add to your shopping cart the goods and/or services you are interested in, and follow stores/brands you are interested in.

4.2 Purchase and Evaluation of Goods and/or Services

【Purchase of Goods and/or Services】 When you purchase goods and/or services on the HuoPan platform, please make sure to confirm the product name, price, quantity, model, specifications, size, service time, content, limitations, and other important matters. You should verify your contact address, phone number, recipient, and other information when placing the order. If the recipient you entered is not yourself, you will bear the legal consequences arising from the actions and expressions of that recipient.

Your purchase should be based on genuine consumer needs, and you should not engage in malicious purchasing, malicious rights protection, or other actions that disrupt the normal transaction order of the HuoPan platform. To maintain the transaction order and security on the HuoPan platform, HuoPan may take proactive actions such as closing related transaction orders when such situations are found.

【Evaluation】 You have the right to evaluate goods and/or services from other users with whom you have completed transactions using the evaluation system provided by the HuoPan platform. You should understand that your evaluation information on the HuoPan platform is public. If you do not want to disclose your identity in the evaluation information, you can choose to post the evaluation content anonymously.

To ensure that evaluation content provides reliable basis for consumers' shopping decisions and reflects the real situation of goods and/or services, all your evaluation actions should comply with the relevant provisions of HuoPanPlatform Rules. The evaluation content should be legal, objective, and true, related to the goods and/or services traded, and should not contain any offensive language, pornography, low vulgarity, advertisements, or any other prohibited information as stipulated by laws and regulations and this agreement. You should not help others improve their reputation unfairly or use the evaluation rights to threaten, blackmail, or extort other users. HuoPan may take necessary measures regarding the evaluation information generated from the above-mentioned behaviors in accordance with HuoPanPlatform Rules.

4.3 Transaction Dispute Resolution

【Transaction Dispute Resolution Methods】 If a dispute arises between you and other users during the transaction process on the HuoPan platform, either you or the other user has the right to choose the following methods for resolution:

(1) Self-negotiation with the opposing party;

(2) Use the dispute resolution service provided by HuoPan platform;

(3) Request mediation by a consumer association or other legally established mediation organization;

(4) Complain to the relevant administrative department;

(5) Submit the dispute to an arbitration institution based on the arbitration agreement with the opposing party (if any);

(6) File a lawsuit in a people's court.

4.4 Information Exchange

To meet users' information exchange needs, such as sharing shopping experiences, you can post comments, replies, messages, bullet screens, likes, etc., and interact with other users through HuoPan’s Q&A, review sharing, forums, groups, and other information release functions. The forms of information include text, images, videos, live streaming content, emojis, symbols, etc. You must ensure that all the information you publish complies with relevant laws, regulations, and the requirements of this agreement.

4.5 Trade Restrictions

For goods, services, software, and technologies obtained through the HuoPan platform (including software and technologies provided by HuoPan), you promise to comply with all applicable laws and regulations on import and export control, trade restrictions, and economic sanctions. In order to maintain the transaction order and security on the HuoPan platform, if you violate the above commitment, HuoPan may take proactive actions such as closing related transaction orders and taking account measures when such violations are found.

4.6 Fees

HuoPan has incurred significant costs to provide services on the HuoPan platform. Except for services explicitly stated as chargeable, services provided by HuoPan are currently free. If HuoPan charges reasonable fees in the future, HuoPan will notify you in advance through reasonable means and within a reasonable time frame, as agreed in Article 8 of this agreement, to ensure you have sufficient choices.

4.7 Limitation of Liability

【Force Majeure and Third-Party Causes】HuoPan performs its basic保障 obligations according to the law, but is not responsible for contract performance obstacles, defects, delays, or changes in content caused by the following reasons:

(1) Force majeure factors such as natural disasters, strikes, riots, war, government actions, judicial administrative orders, etc.;

(2) Public service factors or third-party factors such as power supply failures, communication network failures, etc.;

(3) Factors such as regular or emergency maintenance of equipment and systems, equipment and system failures, and network information and data security issues, even when HuoPan has exercised good faith management.

【Massive Information】 HuoPan only provides you with HuoPan platform services. You understand that the information on the HuoPan platform is posted by users and may contain risks and flaws. HuoPan will establish relevant inspection and monitoring systems according to law to protect your legal rights and good experience on the HuoPan platform as much as possible. Meanwhile, due to the massive amount of information and the separation of information from physical objects in the online environment, HuoPan cannot review every piece of product and/or service information or check the quality, safety, legality, authenticity, and accuracy of the products and/or services involved in transactions. You should exercise caution in your judgment.

5. Protection and Authorization of User Information

5.1 Protection of Personal Information

HuoPan attaches great importance to the protection of personal information (i.e., information that can identify the user’s identity independently or in combination with other information). When using the services provided by HuoPan, you agree that HuoPan will collect, store, use, disclose, and protect your personal information according to the privacy policy published on the HuoPan platform. HuoPan hopes to clearly introduce how HuoPan handles your personal information through the privacy policy, so it is recommended that you read the privacy policy (click here) in full to help better protect your privacy rights.

5.2 Non-Personal Information Guarantee and Authorization

【Information Publication】 You declare and guarantee that you have the corresponding legal rights to the information you publish, and that the information you post and the actions you take comply with relevant laws, national mandatory standards, and this agreement. You have the management responsibility for the information you publish and should immediately delete any information that violates relevant laws, regulations, or this agreement. Otherwise, HuoPan may delete or block the information you publish in accordance with the law or this agreement.

[Authorization for Use] Regarding the text, images, videos, audio, and other non-personal information you provide, publish, or form during your use of HuoPan platform services, such information will not transfer any intellectual property, portrait rights, or other rights due to uploading or publishing, unless we specify otherwise. Within the scope permitted by law, you grant HuoPan and its affiliates a non-exclusive, unlimited geographic license to use (including storing, using, copying, revising, editing, publishing, displaying, translating, distributing the information, or creating derivative works, and incorporating the information into other works in any known or future-developed forms, media, or technologies) and the right to sublicense third parties, as well as the right to collect evidence and initiate lawsuits in your name against third-party infringement.

5.3 Complaints and Reports

If you discover any illegal activities, harmful content, or illegal transmission activities while using HuoPan platform services, you can report them via the "Report Center" or through the "Internet Illegal and Harmful Information Report Phone/Email (86-755-22202020/service@huopan.com)" or other methods provided by HuoPan platform, and HuoPan will handle your complaint in accordance with relevant legal provisions.

6. User Breach and Handling

6.1 Breach Determination

The following situations are considered as breaches by you:

(1) Violating relevant laws and regulations when using HuoPan platform services;

(2) Violating the provisions of this agreement or supplementary agreements (i.e., section 2.2 of this agreement).

In order to adapt to the development of e-commerce and meet the needs of a large number of users for efficient and high-quality services, you understand and agree that HuoPan may establish procedures and standards for determining breaches in the HuoPan Platform Rules. For example: HuoPan may determine whether you are in breach based on your user data in relation to the data of a large number of users. You are obligated to fully provide evidence and reasonable explanations for any anomalies in your data, otherwise, it will be deemed as a breach.

6.2 Breach Handling Measures

[Information Handling] If the information you post on the HuoPan platform constitutes a breach, HuoPan may immediately delete or block the corresponding information in accordance with the relevant rules.

[Behavioral Restrictions] If your behavior on the HuoPan platform, or behavior outside the platform that affects HuoPan and its users, constitutes a breach, HuoPan may apply penalty points to your account, suspend some or all services, deduct breach penalties, etc. If your behavior constitutes a fundamental breach, HuoPan may freeze your account and terminate the services provided to you.

[Payment Account Processing] If you breach the agreement and are involved in fraud, selling fake goods, stealing others' accounts, or pose a risk to others' transaction or account security, HuoPan will instruct the payment account company to take measures such as canceling payments or freezing funds based on the risk level of your behavior.

[Commercial Bribery] If you provide employees or consultants of HuoPan and/or its affiliates with physical goods, cash, cash equivalents, services, travel, or benefits clearly exceeding the scope of normal business negotiations, it will be regarded as commercial bribery. In this case, HuoPan may immediately terminate all cooperation with you and charge you a breach penalty and/or compensation, based on HuoPan's economic loss and reputation loss due to your bribery behavior.

[Related Handling] If you cause a serious breach resulting in HuoPan terminating this agreement, in order to maintain platform order and protect consumer rights, HuoPan and/or its affiliates may suspend or terminate agreements with you under other contracts and notify you according to section 8 of this agreement.

If the other agreements signed by HuoPan with you, and/or agreements with its affiliates, explicitly provide for related handling for cooperation under this agreement, HuoPan may suspend or even terminate the agreement upon receiving instructions, and notify you according to section 8 of this agreement.

7. Agreement Changes

HuoPan may modify this agreement and supplementary agreements from time to time to accommodate changes in laws and regulations and maintain transaction order and protect consumer rights. The modified agreements will be notified to you in accordance with the method specified in section 8 of this agreement.

If you disagree with the changes, you have the right to provide feedback to HuoPan before the effective date of the changes. If your feedback is accepted, HuoPan will adjust the changes accordingly.

8. Notices

8.1 Effective Contact Information

When you register as a user on the HuoPan platform and accept HuoPan platform services, you should provide HuoPan with accurate and effective contact information (including your email address, phone number, and contact address). If your contact information changes, you are obliged to update it in a timely manner and maintain the ability to be contacted.

The member account (including sub-accounts) generated during your registration on the HuoPan platform, which is used to log in and receive internal messages and system notifications, will also serve as your effective contact information.

HuoPan will send various notifications to one or more of your contact methods above, and the content of these notifications may have significant positive or negative impacts on your rights and obligations, so please pay attention in a timely manner.

You have the right to receive commercial information, such as advertisements and promotional offers, via the phone number or email address provided during your registration. If you do not wish to receive such information, you have the right to unsubscribe using the corresponding unsubscribe function provided by HuoPan.

8.2 Delivery of Notices

HuoPan will send notices to you via the contact methods above, including but not limited to notifications on the HuoPan platform, SMS sent to your provided phone number, emails sent to your provided email address, and system messages or internal messages sent to your account. Once sent, these are considered delivered. For written notices sent by paper, they are considered delivered on the fifth calendar day after being posted to the provided contact address.

In the case of any disputes arising from transactions on the HuoPan platform, you agree that judicial authorities (including but not limited to courts and arbitration agencies) may deliver legal documents (including but not limited to litigation documents) to you via SMS, email, or postal methods. The phone number or email address you provided during registration or updating will be used for delivery, and sending legal documents to these contact methods will be considered delivery. The designated postal address is your legal contact address or the valid contact address you provided.

You agree that the above delivery methods will apply to all stages of legal proceedings. If the case enters litigation, this includes but is not limited to the first trial, second trial, retrial, enforcement, and supervision procedures.

You must ensure that the contact information provided is accurate and valid and updated in real-time. If the legal documents cannot be delivered or are not delivered on time due to incorrect contact information or failure to notify HuoPan of the updated contact information, you will bear the legal consequences that may arise.

9. Termination of the Agreement

9.1 Termination Conditions

【User-Initiated Termination】 You have the right to terminate this agreement in any of the following ways:

(1) By self-service cancellation of your account when the account cancellation conditions specified by HuoPan platform are met (you can check the specific account cancellation conditions through "HuoPan APP - My HuoPan - Settings - Account & Security - Cancel Account");

(2) By stopping usage and explicitly indicating unwillingness to accept the changes before the changes take effect;

(3) By explicitly indicating that you no longer wish to continue using HuoPan platform services and meeting the conditions for termination specified by HuoPan platform.

【HuoPan-Initiated Termination】 HuoPan may terminate this agreement by notifying you through the methods specified in Article 8 under the following circumstances:

(1) You violate the terms of this agreement, and HuoPan terminates the agreement based on the breach clauses;

(2) You steal someone else's account, publish prohibited information, defraud others, sell counterfeit goods, disrupt market order, or engage in unfair practices. HuoPan may freeze your account in accordance with HuoPan Platform Rules;

(3) In other cases, if you repeatedly violate the HuoPan Platform Rules with serious consequences, HuoPan may freeze your account in accordance with the HuoPan Platform Rules;

(4) Your account is recovered by HuoPan in accordance with this agreement;

(5) You commit fraud, publish or sell counterfeit or infringing goods, infringe others' legal rights, or engage in other serious illegal or default behaviors on the HuoPan platform;

(6) Other situations where services should be terminated.

9.2 Handling After Termination of Agreement

【User Information Disclosure】 After the termination of this agreement, HuoPan has no obligation to disclose any information from your account to you or any third party, unless specified by law.

【HuoPan Rights】 After the termination of this agreement, HuoPan still has the following rights:

(1) Continue to retain the types of information listed in Article 5 of this agreement that you have stored on the HuoPan platform;

(2) For your past breach of contract, HuoPan may still hold you liable according to this agreement.

【Transaction Handling】After the termination of this agreement, for any transaction orders generated during the existence of this agreement, HuoPan may notify the other party to the transaction and decide whether to close the order based on their wishes; if the other party requests continued performance, you should continue to perform the terms of this agreement and the transaction order, and bear any losses or additional fees incurred due to this.

Ten, Applicable Law, Jurisdiction, and Others

【Severability】 If any provision of this agreement is deemed to be void, invalid, or unenforceable, that provision will be considered severable and will not affect the validity and enforceability of the remaining provisions of this agreement.
